Prize Competitions: Terms and Conditions
Section 1: Introduction
These Terms and Conditions govern all aspects of Afri Vega’s prize competitions and are divided into sections. By entering, hosting, or otherwise participating in any competition, you agree to abide by these Terms and Conditions.
The Terms and Conditions shall be governed by the laws of the State of Delaware, and all parties irrevocably submit to the exclusive jurisdiction of its courts.
Afri Vega reserves the right to amend these Terms and Conditions at any time. Notification of material changes will be sent to the email address associated with your account. Determination of what constitutes a material change lies solely with Afri Vega, acting in good faith and with reasonable discretion.
Each Competition offers both a free entry route and a paid entry route, ensuring compliance with the Gambling Act and allowing the Competitions to legally operate in Delaware without requiring a license.
Each Competition will run for a specified period (“Promotion Period”), as stated on the website.
1.1 Important Notices
A prudent participant in any Afri Vega competition is expected to:s
1. Thoroughly review these Terms and Conditions;
2. Carefully read all documents and materials relating to the competition and its prize(s);
3. Seek professional advice where necessary.
These Terms and Conditions assume that all Hosts, Entrants, and Winners act with reasonable care and due diligence. Participation without taking these precautions is at your own risk.
If you enter, host, or otherwise participate in any competition, you do so with the understanding that:
• You accept and agree to these Terms and Conditions;
• These Terms and Conditions govern the legal relationship between Afri Vega and you as a Host, Entrant, or Winner.
Afri Vega does not offer competitions in jurisdictions where such activities are unlawful or where they require additional registration, licensing, or approval.
1.2 Jurisdiction and Eligibility
• It is your responsibility to ensure that participation in Afri Vega competitions is lawful in your jurisdiction.
• You may not host, enter, or participate in any competition if doing so violates local, state, or federal laws.
• Afri Vega disclaims any liability for non-compliance with local laws by Hosts, Entrants, or Winners.
1.3 Rights Reserved by Afri Vega
1. Modification and Suspension:
• Afri Vega reserves the right to modify, suspend, or terminate any competition without notice in the event of fraud, technical issues, or other circumstances beyond its control.
2. Discretion:
• Afri Vega retains sole discretion to determine what constitutes fair participation, misuse, or abuse of its platform.
3. Void Where Prohibited:
• Competitions are void where prohibited by law.
4. Participant Responsibility:
• Participants, Hosts, and Winners must ensure compliance with all applicable laws and act in good faith.
1.4 Disclaimer of Liability
• Afri Vega will not be held liable for any loss, damages, or injury arising from participation in its competitions, except where expressly required by law.
• Afri Vega is not responsible for technical malfunctions, errors, or unauthorized entries that may disrupt or invalidate competitions.
Limitation of Liability
The Promoter is not responsible for any consequences resulting from breaches of account security by the Entrant or any unauthorized access caused by their failure to follow these rules.
1.5 Governing Law and Disputes
• These Terms and Conditions shall be interpreted and enforced in accordance with the laws of Delaware, without regard to conflict of law principles.
• All disputes arising out of or in connection with these Terms and Conditions or any competition shall be resolved exclusively in the courts of Delaware.
1.6 Acceptance of Terms
By hosting, entering, or participating in a competition on Afri Vega, you confirm that:
• You have read, understood, and accepted these Terms and Conditions;
• You are legally eligible to participate under the laws of your jurisdiction.
Section 2: Competition Conduct Conditions
Defined terms (e.g., words in CAPITALS) have the meanings assigned in the Glossary and Definitions. The following Competition Conduct Conditions apply to all competitions and cannot be amended or waived without the express written agreement of Afri Vega.
The Promoter
The promoter of all competitions is Afri Vega Limited, a company incorporated in the United States (Delaware)
Afri Vega operates prize competitions that are designed to comply with Delaware laws and are free from regulation under the Gambling Act.
The Promoter. The competitions are operated by Afri Vega (“the Promoter”)All prize draws hosted on the Promoter’s website are referred to as “Competitions” in these Terms and Conditions.
2.1 Hosting a Competition
Competitions on the Afri Vega platform are hosted exclusively by Hosts who meet the following eligibility criteria and comply with the Terms and Conditions:
1. Eligibility to Host:
• Hosts must not reside in or be physically located in a jurisdiction where hosting a competition is unlawful.
• Hosts must be at least 18 years of age.
• Only users with a verified account with id, email address and mobile number are permitted to host a competition.
2. Host Agreement:
By hosting a competition on Afri Vega, Hosts are deemed to have read, understood, and agreed to abide by these Terms and Conditions.
3. Competition Particulars:
Hosts are responsible for accurately completing and submitting the following competition details, collectively referred to as the Particulars:
• Competition Title: A unique name for the competition.
• Competition Summary: A brief description of the competition.
• Prize Description: Clear details about the prize, including any delivery or collection options (except for competitions involving property).
• Media: Between 1 and 8 images of the prize. A promotional image
Ticket Price: The price of each ticket.
• Ticket Quantity: The total number of tickets available for sale.
• Proposed End Date and Time: A suggested deadline for the competition, subject to Afri Vega’s review and approval.
• Competition Entry Question: A skill-based question to ensure compliance with prize competition regulations.
Afri Vega’s Rights
• Afri Vega reserves the right to cancel any competition at any time without providing a reason. Hosts will be notified of cancellations, and any tickets sold will be refunded to entrants, if applicable.
• Competitions offering cash payments, bank transfers, gift cards, or a share of ticket revenue as alternatives to providing the designated prize are strictly prohibited.
Promoting Competitions
Hosts may promote their competitions and invite followers or participants, subject to the following guidelines:
1. All promotional activities must comply with applicable laws, including advertising and consumer protection regulations.
2. Hosts must not use misleading, deceptive, or unfair marketing tactics when promoting their competitions.
3. Social media promotions and invitations must align with the policies of the respective platforms (e.g., Facebook, Instagram, Twitter).
Failure to adhere to these conditions may result in competition cancellation or suspension of the Host’s account.
2.2 How to Enter a Competition
1. Competition Timeline
• Each competition will run from its Opening Date to its Closing Date (as specified in the Particulars). Entries submitted outside this timeframe will not be accepted.
2. Entry options
To enter a competition, participants must:
Select an Entry Option: Choose between the Paid Entry or Free Entry option.
For Paid Entry:
Submit a response to the Competition Entry Question, which is skill- or knowledge-based and unique to each competition.
Purchase tickets by paying the required fee for the desired number of tickets using:
A valid credit or debit card.
Note: All ticket payments are strictly non-refundable once submitted.
For Free Entry:
Submit your entry via post, ensuring all required details are provided as per the competition guidelines.
3. Skill or Knowledge Requirement
• Entrants are required to correctly answer the Competition Entry Question to qualify for a valid entry. Afri Vega ensures this requirement complies with applicable regulations for prize competitions.
Postal Entry Requirements
Afri Vega offers the option to enter competitions via a postal application (“Postal Entry”) in accordance with the rules outlined below.
1. Eligibility and Conditions for Postal Entries
• Entrants must be registered users on the Afri Vega platform with both a verified email address and a verified mobile number.
• Postal Entries are free of charge and are not available for purchase.
• Each Postal Entry must be submitted on a postcard and include all the details required
2. Submission Rules
Note: Bulk entries (multiple entries in the same envelope) are not accepted. Entries delivered directly through the letterbox will also be refused.
Only one postal entry is allowed per Competition per registered account. Each person may submit one postal entry per Competition, and each entry will have the same chance of winning as a paid online entry.
Competition Deadlines
All entries, whether submitted online or by post, must be received by the end of the Promotion Period as stated on the Website. The Promoter will allocate a random number to each postal entry, ensuring equal treatment with paid online entries. If a Competition sells out before the deadline, no additional entries will be accepted, and the Website will indicate the Competition is closed.
Eligibility
1. General Requirements for Entrants
To participate in a competition on Afri Vega:
• Entrants must not be physically located in a jurisdiction where entering a competition is unlawful at the time of entry.
• Entrants must be 18 years or older.
2. Ineligible Participants
Competitions are open to individuals aged 18 or older, worldwide. Employees of the Promoter, or those connected to the Promoter (through family, professional, or commercial associations), are not eligible to participate.
3. Confirmation of Eligibility.
By entering a Competition, you (“Entrant,” “you,” or “your”) confirm that you:
Have the legal capacity to participate and you have read, understood, and agreed to these Terms and Conditions.
Entrants are responsible for ensuring that participating in Competitions does not breach laws in their country of residence. The Promoter is not liable for unlawful participation. If in doubt, leave the website and consult local authorities.
The Promoter reserves the right to reject entries at its discretion.
Competitions are governed by Delaware law, and any disputes will be resolved under the exclusive jurisdiction of Delaware courts.
4. Platform-Specific Requirements
• Only registered users of Afri Vega with verified accounts are eligible to enter competitions hosted on the platform.
• Afri Vega reserves the right to disqualify any Host, Entrant, or Winner whose conduct is deemed contrary to the spirit, fairness, or intention of the competition.
Section 4 Competition Prizes
Prize Ownership and Details
All prizes are either owned or purchased by the Promoter for each Competition.
Prize details are outlined on the Competition page of the Website.
Once the Prize Winner receives the prize, the Promoter is no longer responsible for it, including insurance coverage.
Prize Delivery
Delivery of the prize to the Prize Winner’s home address is free.
If delivery is required outside of the country, the Promoter may charge additional delivery fees.
Prize Winners may elect to receive a cash alternative instead of the prize on some prizes
Prize Expenses and Taxes
All expenses related to collecting the prize are the responsibility of the Prize Winner. This includes any taxes, duties, or charges associated with prize receipt.
Prize Conditions
Prizes are subject to terms and conditions set by the Promoter, prize providers, manufacturers, or suppliers. These conditions will be communicated to the Prize Winner before the prize handover.
Prize Substitution
Prizes must be accepted as awarded and cannot be transferred, substituted, or used with other discounts or offers, unless expressly stated.
Cash Alternative
If offered by the Promoter, Prize Winners may choose to receive a cash alternative equivalent to the prize. Acceptance of a cash alternative is optional on some prizes; otherwise, the full prize will be awarded.
Section 5: Winners
1. Selection Process
• Each ticket with the correct answer to the Competition Entry Question will be entered into the final draw for that competition.
• On the Closing Date, a Winner will be selected at random using Afri Vega’s automated ball machine. Or the Promoter may use an alternative, verifiably random method to select the winner (e.g.order number).;’
• The decision of Afri Vega is final and not subject to appeal, correspondence, or discussion.
2. Winner Announcement
• Afri Vega will publish or make available information confirming that a valid competition award took place. In compliance with the Privacy Policy, the Winner’s name (as listed in their Afri Vega profile) will be published on the Draw Date.
• Entrants are responsible for checking the platform to see if they are a Winner.
• If the Entrant has provided a telephone number, Afri Vega or the Host may, at their discretion, contact the Winner by phone.
• Winning tickets numbers will be displayed in the ‘Your Tickets’ section of the platform.
3. Host Notification
• On the Draw Date, the Host will receive an automated email with instructions on how to proceed.
• The Host will also be provided with the Winner’s contact details, including their name, email address, mobile number
The draw will be live-streamed on YouTube or another platform specified by the Promoter on the Website.
4 Prize Forfeiture
If the Promoter cannot contact the Prize Winner within five (5) working days (extendable at the Promoter’s discretion), or if the Prize Winner fails to confirm acceptance of the prize, or is disqualified for breaching the Terms and Conditions, the Prize Winner will forfeit the prize. In such cases, the prize remains the property of the Promoter.
The Promotion Period will not be extended, and all prizes will be awarded regardless of the number of entries.
If the maximum number of entries is reached early, the Promoter may bring the draw date forward.
In cases where a Competition is closed early, a winner will be selected from all valid entries received up to that point.
5 Claiming the Prize
• The Prize must be claimed within 21 days of the Draw Date. Failure to do so will result in forfeiture of the Prize.
6. Communication Between Winner and Host
• The Host is responsible for contacting the Winner to arrange the delivery or collection of the Prize.
• Similarly, the Winner must communicate with the Host to finalize the arrangements.
7. Additional Conditions
• Prizes may only be claimed by the Winner and cannot be claimed by a third party on their behalf.
• Afri Vega is not responsible if the Winner is unable to accept or claim the Prize for any reason.
8 Winner’s Details
Age and Identity Verification
Winners must be 18+ and provide valid proof of age and identity to confirm their eligibility for the competition.
Use in Marketing and Publicity
Prize Winners may be required to:
Provide photographs or videos of themselves for promotional use.
Permit the use of their personal details, including the prize won, in marketing material.
Failure to comply may result in disqualification and reallocation of the prize.
9. Collection Arrangements
• If the Prize requires collection, the Host and Winner must agree on a suitable date, time, and location.
• Both parties are responsible for ensuring a smooth and safe exchange.
10. Proof of Transfer
• The Host is required to take reasonable steps to ensure the safe transfer of the Prize.
• The Host is expected to retain relevant shipment, collection, or delivery receipts in case proof is needed in the event of a dispute.
11. Acknowledgment of Receipt
• If an in-person exchange is required, the Winner must confirm receipt of the Prize on the platform by accepting the Prize at the time of exchange.
Section 6 Acceptance and Disputes
1. Afri Vega’s Authority
• All participants in a competition agree that Afri Vega’s decisions regarding the conduct and outcome of any competition are final and legally binding.
2. Winner Actions Following the Draw
• The Winner has 21 days from the Draw Date to either Accept or Dispute the Prize via the Afri Vega platform.
• Acceptance of the Prize:
• By accepting the Prize on the platform, the Winner confirms that:
• The Prize matches the description in the competition Particulars.
• They have taken possession of the Prize.
• Upon accepting the Prize:
• The Winner forfeits any right to dispute the Prize or seek compensation under the Afri Vega Guarantee.
• The Host’s Proceeds will be released to the Host or their designated charity or cause.
• The Winner relinquishes all rights under these Terms and Conditions.
• Disputing the Prize:
• By disputing the Prize, the Winner asserts that:
• The Prize does not match the description in the competition Particulars, or
• They have not received the Prize.
• Afri Vega’s Disputes Team will investigate and make a final determination.
3. Dispute Resolution
• Afri Vega reserves the right to investigate all aspects of a dispute and, at its sole discretion, adjudicate the matter to determine fault.
• Outcomes of a Dispute:
• If the dispute is resolved in favor of the Host:
• The Host’s Proceeds will be released to the Host or their designated charity or cause.
• The Winner forfeits all rights under these Terms and Conditions.
• If the dispute is resolved in favor of the Winner:
• The Host forfeits all rights under these Terms and Conditions.
• Afri Vega will withhold the Host’s Proceeds and provide the Winner with compensation equal to 75% of the Total Proceeds, as per the Afri Vega Guarantee.
4. Special Conditions for Multiple Prizes
• If a competition includes multiple Prizes, any disputes will be handled separately for each Prize.
• Winners who successfully dispute their Prize will receive 75% of their proportionate share of the Total Proceeds.
5. Failure to Act
• If the Winner neither Accepts nor Disputes the Prize within 21 days of the Draw Date:
• The Winner forfeits their right to take any action regarding the Prize.
• The Host’s Proceeds will be automatically released to the Host or their designated charity or cause.
• The Winner loses all rights under these Terms and Conditions.
6. Finality of Decision
• Afri Vega’s decision on any dispute is final and binding on all parties. No further correspondence or appeals will be entertained.
Property Competitions
• If the Prize includes real estate or property, the Real Estate Conditions will apply.
• Where the Real Estate Conditions conflict with the Competition Conduct Conditions, the Real Estate Conditions shall take precedence.
Limitation of Liability
• To the fullest extent permitted by law, Afri Vega, its agents, or distributors owe no duty of care to the Winner, Host, or any Entrant and are not liable for any loss, damage, personal injury, or death resulting from participation in or the acceptance of a Prize, except where caused by the negligence of Afri Vega, its agents, distributors, or employees.
• This limitation does not affect your statutory rights.
Section 7: Ownership of Competition Entries and Intellectual Property Rights
1. Ownership of Entries
• Afri Vega does not claim ownership of any competition hosted by a Host.
2. License to Use Entries
• By hosting a competition on Our Platform, the Host grants Afri Vega a non-exclusive, worldwide, irrevocable license for the duration of the applicable intellectual property rights to:
• Use, display, publish, transmit, copy, edit, alter, store, reformat, and sub-license the competition entry and any accompanying materials for promotion or publicity purposes.
• Afri Vega reserves the right, but is not obligated, to make the competition available on Our Platform or other media, including for promotional purposes.
3. Username or Content Removal
• Afri Vega may require the forfeiture of a username or web address for reasons such as:
• Violation of third-party intellectual property rights.
• Misleading others.
• Inactivity.
• Afri Vega reserves the right to remove any content from Our Platform, including but not limited to, content reported as offensive, deemed inappropriate, or infringing on third-party legal rights.
4. Participant Responsibility
• Hosts, Entrants, and Winners are responsible for ensuring their usernames and hosted content do not infringe on any third-party rights, including but not limited to, intellectual property rights.
User Warranties and Representations
By using Afri Vega’s services, you represent and warrant that:
1. Legal Compliance
• You are not physically located in or a resident of a jurisdiction where it is unlawful to host or participate in competitions.
2. Content Rights
• Any content you share as a Host, Entrant, or Winner does not violate the rights of others, including:
• Privacy rights, copyrights, trademarks, or intellectual property rights.
• Contract rights or other legal obligations.
3. Host Responsibility
• As a Host, you:
• Have legal ownership of and the right to offer the Prize in your competition.
• Grant any required licenses to Afri Vega as outlined in these Terms and Conditions.
4. Afri Vega’s Technical Functions
• You acknowledge and accept that Afri Vega may carry out technical processes, such as transcoding or reformatting, to enable content use on Our Platform.
User Profiles
1. Profile Responsibility
• Users are solely responsible for the content of their profiles and warrant that:
• Their profile does not violate laws, regulations, or third-party rights, including intellectual property rights.
• Users agree to indemnify and hold Afri Vega harmless against any legal claims arising from their profile content.
2. Profile Updates
• Users may amend their contact information on their profile, but Afri Vega will not amend contact details for competition entries already submitted.
3. Following and Notifications
• Users can follow other users on Our Platform, consenting to receive email updates about competitions hosted by those users, including:
• Ongoing competitions.
• Winners and other related updates.
• Users can turn off these notifications at any time by unfollowing other users through their profile settings.
Section 7: Limitation of Liability
The Promoter is not responsible for any consequences resulting from breaches of account security by the Entrant or any unauthorized access caused by their failure to follow these rules.
Unauthorized Use and Expired Debit Cards
If an Entrant’s bank reports unauthorized use of a debit card related to a Competition, and the bank requests a refund, the Promoter may suspend the Entrant’s account and request further information. The Promoter is not liable for chargebacks initiated by the Entrant’s bank.]
Data Protection and Publicity
• Afri Vega will process your personal information in accordance with its Privacy Policy, available on the Privacy Policy page of Our Platform.
Unacceptable Behaviour
All participants (Hosts, Entrants, and Winners) are required to refrain from unacceptable behaviour in relation to any competition. Examples of unacceptable behaviour include, but are not limited to:
1. Disruptive Actions
• Any behaviour likely to negatively impact the enjoyment or experience of other participants.
2. Threats or Abuse
• Using threatening, abusive, or insulting language or behaviour towards other participants or Afri Vega staff.
3. Damage or Harm
• Actions that cause, or are likely to cause, damage, nuisance, or injury to Afri Vega, other participants, or their property.
4. Cyber Harassment
• Engaging in bullying, harassment, intimidation, or threatening behaviour online.
Afri Vega reserves the right to:
• Forfeit any rights a participant (Host, Entrant, or Winner) has accrued under these Terms and Conditions.
• Remove any content or user from Our Platform without providing an explanation.
• Ban a participant from future participation or access to Our Platform if unacceptable behaviour occurs.
Afri Vega’s decisions regarding unacceptable behaviour are final and legally binding, with no further correspondence or discussion entertained.
Afri Vega Guarantee
• If a Host fails to provide the Prize, Winners will receive compensation equal to 70% of the Total Proceeds of the relevant competition.
• All compensation payments are guaranteed and directly issued by Afri Vega
. Multiple Winners or Prizes
• Where there are multiple Winners or multiple Prizes in a competition and the Host fails to provide the Prize(s), compensation will be divided equally among the Winners. The total compensation will remain 70% of all ticket sales.
Section 8: General Terms
1. Breach of Terms
• If Afri Vega believes that there has been a breach of these Terms and Conditions, it reserves the right to:
• Exclude you from current or future competitions.
• Ban you from accessing Our Platform.
2. Competition Modifications
• Afri Vega reserves the right to void, suspend, cancel, or amend any competition if deemed necessary.
Force Majeure
Afri Vega, any Host, or Partner shall not be considered in breach of these Terms and Conditions, nor held liable for any delay or failure to perform obligations, if such delay or failure arises due to a Force Majeure Event.
• In the event of a Force Majeure Event, competition Hosts and Partners will be granted a reasonable extension of time to fulfill their obligations, as determined by Afri Vega at its sole discretion.
• If the delay or non-performance persists for more than four (4) weeks, Afri Vega reserves the right to:
1. Terminate the competition with two (2) days’ written notice to the Host.
2. If the competition has concluded but the Host or Partner has not delivered the Prize as specified in the competition Particulars, Afri Vega will allocate the competition proceeds to the rightful Winner.
Publicity and Advertising
1. Publicity Obligations
• At Afri Vega’s request, Hosts and/or Winners must participate in reasonable publicity activities related to the Competition or Afri Vega, both during and after the Competition. This may include:
• Engaging in interviews.
• Participating in promotional recordings for social media, press, or television.
• Posting promotional content on the Host’s and/or Winner’s personal social media platforms, as directed by Afri Vega.
2. Grant of Rights
• Hosts and Winners agree that Afri Vega may use their name, picture, or likeness for advertising, publicity, or other business purposes for up to five (5) years after the Competition End Date.
• Such use does not infringe upon the privacy or property rights of the Host or Winner, nor does it entitle them to any additional compensation.
• All promotional materials (e.g., negatives, prints, or other reproductions) prepared in connection with this use will remain the sole property of Afri Vega.
No Promotion by Third Parties
Competitions hosted on Afri Vega are not sponsored, endorsed, administered, or associated with Apple Inc., Google, Facebook, Twitter, Snapchat, TikTok, or any other social network.
Entire Agreement
These Terms and Conditions represent the complete and exclusive agreement between Afri Vega and you, superseding all prior agreements, representations, and understandings, whether written or oral, related to the subject matter of these Terms and Conditions.
Waiver
No failure or delay by Afri Vega in exercising any right or remedy under these Terms and Conditions shall be deemed a waiver of that right or remedy, nor shall it prevent or limit the exercise of any other right or remedy. Similarly, a partial or single exercise of any right or remedy shall not prevent further exercise of that or any other right or remedy.
Severability
If any provision or part of a provision of this agreement is found to be invalid, illegal, or unenforceable, it shall be deemed severed from this agreement, but the remaining provisions shall continue in full force and effect.
Governing Law
These Terms and Conditions, including any disputes or claims (whether contractual or non-contractual) arising from or in connection with their formation or subject matter, shall be governed by and construed in accordance with the laws of Delaware.
